The rules for using our site.

These terms cover how you can use dyad-health.com. They do not cover the care services a health plan contracts with us to deliver — those are governed by a separate agreement with the plan.

§ 01Acceptance of these terms

By accessing or using dyad-health.com and its sub-pages (the "Site"), you agree to these Terms of Use ("Terms") and our Privacy Policy. If you do not agree, please do not use the Site.

The Site is operated by Dyad Health, Inc. ("Dyad," "we," "us," or "our"), a Delaware corporation.

§ 02What this Site is — and is not

The Site is informational. It describes our company and the care services we contract to deliver through health-plan partners.

The Site is not medical advice. Nothing on the Site is a substitute for professional medical advice, diagnosis, or treatment. Always seek the advice of a qualified health provider with any questions you have about a medical condition. If you think you or someone in your care is experiencing a medical emergency, call 911 or go to the nearest emergency room.

The Site does not create a provider-patient relationship. Submitting a form, reading our content, or otherwise interacting with the Site does not enroll you in Dyad's care program. Enrollment requires (a) your health plan to be a contracted Dyad partner, and (b) completion of the plan's enrollment process under applicable law.

§ 03Your use of the Site

All content on the Site — including text, graphics, logos, the orbit mark, images, and software — is owned by Dyad or our licensors and is protected by U.S. and international copyright, trademark, and other laws. You may view and print content from the Site for your personal, non-commercial use. Any other use requires our prior written permission.

"Dyad Health," the Dyad orbit mark, and "Care for one. Care for both." are trademarks of Dyad Health, Inc.

§ 05Submissions

When you submit information to the Site (for example, the caregiver waitlist), you represent that the information is accurate and that you have the legal authority to provide it. You grant Dyad a limited, non-exclusive, royalty-free license to use that information as described in our Privacy Policy.

The Site may link to third-party sites. We do not control and are not responsible for those sites. Following a link is at your own risk.

§ 07Disclaimers

THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

Any clinical statements, statistics, or economic projections on the Site are based on the best information available to us at the time of publication and are subject to change. They are not a guarantee of outcome for any individual member, caregiver, plan, or program.

§ 08Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, DYAD AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE SHALL NOT EXCEED ONE HUNDRED DOLLARS (US$100).

§ 09Indemnification

You agree to indemnify, defend, and hold harmless Dyad and its officers, directors, employees, and agents from any claim, demand, damage, cost, or expense (including reasonable attorneys' fees) arising out of your breach of these Terms, your use of the Site, or your violation of any law or third-party right.

§ 10Governing law & disputes

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or your use of the Site shall be resolved in the state or federal courts located in San Francisco County, California, and you consent to the personal jurisdiction of those courts — except where applicable law reserves jurisdiction to a different forum.

§ 11Changes to these Terms

We may update these Terms from time to time. If we make a material change, we will post a notice on the Site and update the effective date at the top of this page. Your continued use of the Site after a change becomes effective constitutes your acceptance of the updated Terms.
